These Terms of Service ("Terms") govern your use of Morency Connect ("the App"), a software platform operated by Morency Connect LLC ("we", "us", "our"). By creating an account or using the App, you agree to these Terms.
1. WHAT MORENCY CONNECT IS AND IS NOT
Morency Connect is a software tool designed to support wellness, coaching, and care-coordination workflows. Morency Connect is NOT:
- A medical provider
- A mental health provider
- A licensed therapist, counselor, or coach
- An emergency service
- A substitute for professional clinical care
The information and AI features provided by Morency Connect (including "Ally") are not medical advice, diagnoses, or treatment. If you are in crisis, call or text 988 (Suicide & Crisis Lifeline) or 911.
2. ELIGIBILITY
You must be 18 or older to create an account for yourself, OR be a parent or legal guardian creating an account for a minor. Organizations that serve minor clients are responsible for obtaining appropriate parental or guardian consent under applicable law.
3. ACCOUNT ROLES
Morency Connect supports multiple account roles (administrator, therapist, coach, support staff, client, family member). Each role has different features and responsibilities. You agree to use Morency Connect only within the scope of the role you sign up for. Specifically:
- Coaches and non-clinical staff may not use Morency Connect to provide therapy, diagnose mental health conditions, or deliver services requiring clinical licensure.
- Clinicians must hold a current, valid license in their state and remain fully responsible for clinical decisions.
- Organization administrators are responsible for training staff and ensuring HIPAA compliance within their organization.
4. HIPAA AND PROTECTED HEALTH INFORMATION (PHI)
If you are a covered entity or business associate under HIPAA and you use Morency Connect to handle protected health information, you must execute a Business Associate Agreement (BAA) with Morency Connect before entering any real PHI. Use of Morency Connect with PHI without an executed BAA is a violation of these Terms and may constitute a HIPAA violation on your part.
5. ACCEPTABLE USE
You agree not to:
- Use Morency Connect for any unlawful purpose
- Impersonate any person or entity
- Access or attempt to access features outside your role's scope
- Reverse engineer, scrape, or interfere with the App's operation
- Upload malicious code or attempt to compromise security
- Use Morency Connect to provide services you are not licensed to provide
6. AI FEATURES (ALLY)
Morency Connect includes AI features collectively called "Ally". Ally is an automated assistant powered by third-party language models. Ally:
- Is not a licensed clinician or medical professional
- May produce inaccurate, incomplete, or inappropriate output
- Is not a substitute for clinical judgment or emergency care
- Should not be used for crisis situations
You agree not to rely on Ally for medical, legal, or emergency decisions.
7. YOUR DATA
You retain ownership of the data you enter. By using Morency Connect you grant us the right to process that data for the purpose of providing the service, as further described in our Privacy Policy. Clinical records entered by providers remain subject to the provider's legal retention obligations and are not automatically deleted when a client deletes their account.
8. DATA SHARING AND CONSENT
You control what personal information you share through the App. Some data may be visible to your organization or provider based on your role and the permissions you grant. If you are a client, you can review and change your sharing settings at any time in the Sharing screen of your Profile.
9. EMERGENCIES
Morency Connect is not an emergency service. If you are in crisis, call or text 988 or your local emergency number.
10. DISCLAIMERS
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE ACCURATE.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORENCY CONNECT LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE APP.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Nothing in this section limits liability for gross negligence, willful misconduct, or any liability that cannot be limited under applicable law.
12. INDEMNIFICATION
If you are an organization, clinician, or coach, you agree to indemnify and hold harmless Morency Connect from any claims arising out of (a) your use of Morency Connect outside its intended scope, (b) your failure to comply with HIPAA or other applicable law, (c) your clinical or coaching decisions, or (d) any harm caused to a client by your acts or omissions.
13. TERMINATION
To close your account, email support@morencyconnect.com. We may suspend or terminate your account for violation of these Terms. Certain provisions (including Disclaimers, Limitation of Liability, and Indemnification) survive termination.
14. CHANGES TO THESE TERMS
We may update these Terms from time to time. When we do, we will require you to acknowledge the updated Terms on your next login. The current version is indicated at the top of this document.
15. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-laws rules. Any dispute arising out of these Terms shall be resolved through binding arbitration in Idaho, except that either party may seek injunctive relief in court for intellectual property or confidentiality issues.
You waive any right to participate in a class action.
